These Terms of Service ("Terms") govern your access to and use of the services, software, and platform provided by IntrospecAgentic.AI ("Company," "we," "us," or "our"). By accessing or using our services, you ("Client" or "you") agree to be bound by these Terms. If you do not agree, do not use our services.
IntrospecAgentic.AI provides an AI-powered lead response automation system designed for businesses in the health, wellness, and medical aesthetics industries, including medical spas ("med spas"). Our platform automates the qualification and follow-up of inbound leads via SMS, email, and other communication channels on behalf of our clients.

The specific features and scope of services provided to you are defined in your service agreement or order form executed with IntrospecAgentic.AI.
Our services are intended for business entities and their authorized representatives. By agreeing to these Terms, you represent that you are at least 18 years of age, have the legal authority to enter into a binding agreement on behalf of your business, and will use the services only for lawful business purposes.
You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate your access to the services if we determine, in our sole discretion, that you have violated these Terms or any applicable law.
This section is required for compliance with Twilio's 10DLC registration program and applicable U.S. messaging regulations including the TCPA.
4.1 Message Types. Through our platform, you may send and receive SMS messages on behalf of your business to leads and contacts who have provided prior express consent. Message types may include appointment confirmations, lead follow-ups, service inquiries, and operational notifications.
4.2 Client Responsibility for Consent. You, as the Client, are solely responsible for ensuring that all contacts to whom messages are sent have provided valid prior express written consent to receive SMS communications from your business. You must maintain records of such consent and provide them to us upon request.
4.3 Message Frequency. Message frequency varies based on your business activity and lead volume. Standard data rates may apply to message recipients depending on their mobile carrier and plan.
OPT-OUT: Message recipients may opt out of receiving SMS messages at any time by replying STOP to any message. Upon receipt of a STOP reply, no further messages will be sent to that number.
HELP: Recipients may reply HELP at any time to receive support contact information.

4.4 No High-Risk Messaging. The platform may not be used to send messages related to illegal substances, firearms, gambling, adult content, or any content prohibited by Twilio's Acceptable Use Policy or applicable law.
4.5 Compliance. Both parties agree to comply with all applicable laws and carrier regulations governing SMS communications, including but not limited to the TCPA and CTIA guidelines.
Access to our services is provided on a subscription or retainer basis, as specified in your service agreement. By engaging our services, you agree to pay all fees as outlined in your order form or proposal.
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of information as described in the Privacy Policy.

We will not sell your contact data or your clients' data to third parties. Data is used solely to provide and improve our services.
All software, technology, algorithms, content, and materials comprising the IntrospecAgentic.AI platform are the exclusive property of IntrospecAgentic.AI and are protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in our platform or technology.
You retain ownership of all content and data you submit to the platform. By using our services, you grant us a limited, non-exclusive license to use your data solely to perform and improve the services provided to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTROSPECAGENTIC.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL FEES PAID BY YOU TO INTROSPECAGENTIC.AI IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
We do not guarantee specific business outcomes, lead conversion rates, or revenue results from use of our platform.
You agree to indemnify, defend, and hold harmless IntrospecAgentic.AI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you submit through the platform.
These Terms remain in effect for the duration of your engagement with IntrospecAgentic.AI. Either party may terminate the service relationship in accordance with the terms of your service agreement.
Upon termination, your right to access and use the platform will cease immediately. Provisions of these Terms that by their nature should survive termination (including Sections 6, 7, 8, 9, 10, 12, and 13) shall survive.
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which IntrospecAgentic.AI is principally located, without regard to its conflict of law principles.
Any disputes arising under these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise agreed in writing by both parties.
We reserve the right to update or modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page. Your continued use of our services after any modifications constitutes your acceptance of the updated Terms.
